Welcome to the website of the Santa Monica Police Department Foundation (the “Foundation,” “we,” “us,” or “our”), located at https://www.smpdfoundation.org/ (the “Site”). The Foundation is a California nonprofit corporation organized exclusively for charitable purposes to support the Santa Monica Police Department.

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE SITE. By accessing, browsing, or using the Site in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, our Refund Policy, and any other policies or rules posted on the Site (collectively, the “Agreement”). If you do not agree to these Terms, you must immediately cease all use of the Site.

1. Eligibility and Use of the Site

The Site is intended for users who are at least 18 years of age or the age of majority in their jurisdiction of residence. By using the Site, you represent and warrant that you meet this eligibility requirement.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any manner that violates any applicable federal, state, local, or international law or regulation.

  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm the Foundation or users of the Site.

  • Attempt to gain unauthorized access to any portion of the Site, or interfere with or disrupt the Site or servers.

  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any material.

  • Transmit any viruses, Trojan horses, or other harmful code.

2. Donations and Payments

The Site may offer opportunities to make voluntary charitable donations to the Foundation. All donations are final and non-refundable to the fullest extent permitted by law, except as expressly provided in our separate Refund Policy. Donations are tax-deductible to the extent allowed by applicable law; the Foundation will provide a receipt for tax purposes where required.

We use third-party payment processors to handle donations. Your financial information is not stored by the Foundation; it is processed securely by the payment processor in accordance with its own privacy and security policies. The Foundation is not responsible for any errors, delays, or issues caused by third-party payment processors.

3. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, and other materials (collectively, “Content”), is owned by the Foundation or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. The name “Santa Monica Police Department Foundation,” our logos, and any related marks are the property of the Foundation.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Content solely for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content without our prior written consent.

4. User Submissions and Communications

Certain areas of the Site may allow you to submit comments, feedback, or other information (“User Content”). By submitting User Content, you grant the Foundation a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and display such content in any manner.

You represent that your User Content does not violate any third-party rights and is not unlawful, harmful, threatening, abusive, or defamatory. The Foundation reserves the right, but has no obligation, to monitor, edit, or remove any User Content.

5. Links to Third-Party Sites

The Site may contain links to third-party websites or services. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of use of any third-party site. Your use of any linked site is at your own risk.

6. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE FOUNDATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Any reliance you place on the Content is strictly at your own risk.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE FOUNDATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Site shall not exceed the greater of (a) the amount you have actually paid to the Foundation in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless the Foundation and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your User Content.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a new “Last Updated” date. Your continued use of the Site after the changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be instituted exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

11. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms constitute the entire agreement between you and the Foundation regarding the Site.
